These Terms of Service (“Terms”) are a binding legal agreement between you and BoothSquare that govern your right to use the website from BoothSquare (collectively, the “BoothSquare Platform”). When used in these Terms, “BoothSquare,” “we,” “us,” or “our” refers to the BoothSquare entity Blue Curseur Europe SRL with whom you are contracting.

BoothSquare is an innovative platform that offers a complete and up-to-date directory of events around the world. With our platform, you can easily find events that interest you, and even rent a stand directly through our centralized digital tracking.

We are proud to offer you this practical and user-friendly solution for event organizers and visitors.

By using BoothSquare, you can be sure to find events that interest you, and you can even rent a stand for your business or organization. With our comprehensive and real-time updated database, you can be sure that you will never miss an important event.

Additionally, we also offer accommodation deals to facilitate your stay during these events.

We have collected a large amount of data on events and participants through our platform. This data now allows us to move into a new phase of experimentation by developing an AI that will assist event organizers in creating their events. With this AI, we will be able to help organizers create more effective and better tailored events to their audience's needs.

The BoothSquare Platform offers a global directory that enables users (“Members”) to publish, offer, search for, and book booths & services. Members who publish and offer services are “Hosts” and Members who search for, book, or use services are “Exhibitors.” Hosts offer booth (“Booths”) and other services (collectively, “Services,” and each Service offering, a “Listing”). You must register an account to access and use many features of BoothSquare Platform, and must keep your account information accurate. As the provider of the BoothSquare Platform, BoothSquare does not own, control, offer or manage any Listings or Services. BoothSquare is not a party to the contracts entered into directly between Hosts and Exhibitors, nor is BoothSquare a real estate/event broker. BoothSquare is not acting as an agent in any capacity for any Member.

The content and materials provided by BoothSquare are subject to the following copyright and trademark disclaimer: 

All intellectual property rights in the content presented on BoothSquare's platform belong to the rightful owners of those marks, names, logos, or any other proprietary materials. BoothSquare does not claim ownership or co-ownership of any copyrighted or trademarked content unless explicitly stated.

BoothSquare solely serves as a platform for sharing publicly available information. We do not function as co-organizers, co-owners, or co-holders of any rights related to the content, trademarks, or copyrights displayed on our platform. Any use, reference, or depiction of copyrighted or trademarked material on BoothSquare is done so for informational and educational purposes only.

It is important to note that BoothSquare does not endorse, support, or claim any association with the owners of the intellectual property presented on our platform, unless explicitly specified. We encourage users to respect the rights of intellectual property owners and to seek proper authorization for any use beyond the scope of personal or non-commercial purposes.

We maintain other terms and policies that supplement these Terms like our Privacy Policy, which describes our collection and use of personal data, and our Payments Terms, which govern any payment services provided to Members.

If you are a Host, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Services.

Our Mission.

Our mission is to facilitate access to information about Events and Fairs Worldwide. By doing that we would like to facilitate the booking of a Booth in events organized in physical, digital, hybrid and through Metaverse. We have developed and continue to improve every day, a totally digital tool to follow step by step the status of your reservations, both for your stands and for services related to the organization of events.

1. Event Listing Ownership and Information Update Process

In order to provide comprehensive and accurate information within our directory, we have established a procedure for event organizers to claim their respective listings. This process allows organizers to take ownership of their event spaces, update information, and directly manage booths. This article outlines the steps involved in this ownership claim process and the considerations that accompany it.

Claiming Event Spaces: An Overview

Any event listed in our directory can be claimed by its respective organizer for the purpose of managing and updating information. This process involves the organizer asserting their ownership by initiating the claim through a designated email address. The individual initiating the claim process either declares that they have the authorization from the organizer or that they are the organizer themselves.

Verification and Ownership Confirmation

Upon receiving a claim request, we undertake a verification process to ensure that the claimant is associated with the event's organizer or has the necessary authorization. Our verification procedure primarily revolves around the claimant's email domain, their LinkedIn profile link, and the information available on the organizer's official websites.

However, it's important to note that while we take measures to verify the authenticity of the claimant, we cannot provide an absolute guarantee that the person claiming ownership is fully authorized to do so. Our verification process is contingent upon the accuracy of the provided information and online presence, and we cannot be held liable for any discrepancies or misrepresentations.

Contact and Information Collection

Every individual initiating the event space ownership claim process agrees to be contacted by our services for further information if needed. This step might involve additional queries to establish the claimant's legitimacy. We may request additional documentation or details to ascertain the claimant's association with the event.

Discretion in Claim Approval

It is important to understand that while we strive to facilitate accurate ownership claims, we reserve the right to decline a claim without providing a justification. This discretion is exercised in situations where we have reasonable doubt about the legitimacy of the claim or when information provided is insufficient to confirm ownership.

2. Searching and Booking on BoothSquare.

2.1 Searching. You can search for Host Services by using criteria like the type of Host Service, industries, sectors and cities. 

You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. Relevance considers factors like price or availability.

2.2 Booking. When you book a Listing, you are agreeing to pay all charges for your booking. 

When you receive the booking confirmation, a contract for Host Services (a "Reservation") is formed directly between you and the Host. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Reservation, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to booking a Listing.Be aware that some Hosts work with a co-host or as part of a team to provide their Host Services.

3. Cancellations, Travel Issues, Refunds and Booking Modifications.

3.1 Cancellations, and Refunds. If as an Exhibitors you cancel a Reservation, the amount refunded to you is determined by the cancellation policy that applies to that Reservation by the the Hosts’s rules.

3.2 Booking Modifications. Exhibitors and Hosts are responsible for any booking modifications they agree to make via the BoothSqaure Platform, and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification.

4. Your Responsibilities and Assumption of Risk.

4.1 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you invite to join on your Booth or provide access to any Booth. For example, this means: (i) you are responsible for leaving an Event in the condition it was in when you arrived, (ii) you are responsible for paying all reasonable Damage Claim amounts necessary to cover damage that you, your Exhibitor(s), your visitor(s), and (iii) you must act with integrity, treat others with respect, and comply with applicable laws at all times.

4.2 Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the BoothSquare Platform and any Content (as defined in Section 10), including your stay at any Accommodation, participation in any Experience, use of any other Host Service, or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Host Service to determine whether it is suitable for you. For example, Host Services may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Host Services.

Host Terms

5. Hosting on BoothSquare.

5.1 Host. As a Host, BoothSquare offers you the right to use the BoothSquare Platform to share your Event/ Fairs and Exhibition and all Booth offers and Services with our community of members - and earn money doing it.

5.2 Contracting with Exhibitors. When you accept a booking request, or receive a booking confirmation through the BoothSquare Platform, you are entering into a contract directly with the Exhibitor, and are responsible for delivering your Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like BoothSquare’s service fee (and applicable taxes) for each booking. BoothSquare will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms, policies or conditions that you include in any supplemental contract with Exhibitor must: (i) be consistent with these Terms, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts. Your relationship with BoothSquare is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of BoothSquare, except that BoothSquare acts as a payment collection agent as described in the Payments Terms. BoothSquare does not direct or control your Service, and you agree that you have complete discretion whether and when to provide Services, and at what price and on what terms to offer them.

6. Managing Your Listing.

6.1 Creating and Managing Your Listing. The BoothSquare Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Service, your price, other charges like cleaning fees and any rules or requirements that apply to your Exhibitors or Listing. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Host Services and suggest you carefully review policy terms and conditions including coverage details and exclusions. 

6.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. 

Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Exhibitors and others in compliance with applicable privacy laws and these Terms, including our Exhibitor Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the BoothSquare Platform.

6.4 Your Assumption of Risk. You acknowledge that hosting carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the BoothSquare Platform, offering Services, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the BoothSquare Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Host Services and that you are not relying upon any statement of law made by BoothSquare. 

Content and other materials posted on our platform are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any organizer to our Services, or by anyone who may be informed of any of its contents. Where our Services contain links to other sites and resources provided by us or by third parties, these links are provided for your information only. Such sites are not operated by BoothSquare and we have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from any use of them.

Organizers using the BoothSquare platform are strictly prohibited from including any external links, URLs, or hyperlinks leading to other platforms or websites within the Event descriptions. This measure is put in place to maintain the security, integrity, and user experience of our platform.

Enforcement Measures : 

Description Modification: In the event that an external link or unauthorized content is detected within an event description, Boothsquare reserves the right to modify the description to remove the offending link or content without prior notice. Such modifications will be made at the sole discretion of Boothsquare, and organizers shall comply with the updated description.

Event Deletion: In cases where an organizer repeatedly violates the prohibition on external links or engages in other forms of misconduct, Boothsquare may, at its discretion, delete the respective event from the platform without prior notice. The organizer will be notified of the event deletion and the reason for the action, but Boothsquare's decision in this regard shall be final.

Organizer Ban: In instances of severe or repeated violations of this policy or other Terms and Conditions, Boothsquare reserves the right to ban the organizer from the platform. The decision to impose a ban will be made at the sole discretion of Boothsquare. If an organizer is banned, they will be notified of the ban and the reasons behind the decision.

We aim to update our Services regularly, and may change the content at any time. If the need arises, we may suspend access to our Services (or any part thereof) or close it indefinitely, with or without notice. Any of the material on our Services may be out of date at any given time, and we are under no obligation to update such material.

6.5 Service Category Selection and Accurate Service Representation

We strive to create a seamless and efficient platform for event organizers and service providers to connect and collaborate. To ensure clarity and effective service discovery, we have implemented guidelines regarding service category selection and accurate service representation.

Single Service Category Selection:

When adding a new service to the BoothSquare platform, service providers are required to choose a single service category that best represents their offering. This category serves as a fundamental reference point for event organizers seeking specific services. By allowing each service to belong to one category, we aim to streamline the search process, enhancing the relevance and accuracy of search results.

Accurate Service Representation:

It is essential for service providers to accurately represent their offerings within the chosen service category. The service description and details should align with the category's theme and cater to the needs and expectations of event organizers seeking services within that domain. The chosen category acts as a context for the service and helps event organizers quickly assess its suitability for their event.

Commitment to Quality:

We encourage service providers to maintain a high standard of accuracy and relevance when selecting a service category and crafting service descriptions. By adhering to this practice, service providers contribute to a more trustworthy and productive environment for all users on BoothSquare.

Platform Benefits:

Compliance with Guidelines:

By adhering to the single service category selection and accurate service representation guidelines, service providers contribute to a vibrant and efficient ecosystem on BoothSquare. These guidelines also foster trust and transparency between service providers and event organizers. BoothSquare retains the right to promptly remove any content, including but not limited to event descriptions or any part thereof, if it contains information that is deemed impermissible. This includes, but is not limited to, the inclusion of website URLs, email addresses, or direct phone numbers within the event description. This measure is taken to ensure compliance with BoothSquare's policies and to maintain a secure and user-friendly environment for all participants. The event organizer is encouraged to adhere to these guidelines to avoid any inconvenience or disruption in the promotion of their event on the BoothSquare platform. BoothSquare aims to maintain the integrity of its services and reserves the right to enforce these content standards for the benefit of all users.

7. Requests cancellations and Booking Modifications.

7.1 Cancellations. If an Exhibitor cancels a Reservation, the amount paid to you is determined by your cancellation policy that applies to that Reservation. As a host, you should not cancel on a Exhibitor without a valid reason or applicable law. If you cancel on a request without such a valid reason, we may impose a cancellation fee and other consequences. If: (i) an Exhibitor experiences an Extenuating Circumstance arises, the amount you are paid will be reduced by the amount we refund or otherwise provide to the Exhibitors, and by any other reasonable costs we incur as a result of the cancellation. BootSquare’s fees are always due even in case of cancellation from foster or exhibitor.

7.2 Booking Modifications. Hosts and Exhibitors are responsible for any Booking Modifications they agree to make via the BoothSquare Platform and agree to pay any additional amounts, fees or taxes associated with a Booking Modification.

8. Taxes.

8.1 Host Taxes. 

As a host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, income, or other taxes ("Taxes").

8.2 Tax Information. 

In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that BoothSquare may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Host Services to facilitate accurate tax reporting by you, our Exhibitors, and/or their organizations.

Tax - VAT - Invoices

In the context of our partnership as a Boothsquare reseller, please be aware of the following general conditions:

Boothsquare Reseller Role: 

Boothsquare acts as a reseller in the context of a marketplace platform. The stands provided for events, congresses, and other manifestations are resold by Boothsquare. Consequently, the organizer considers Boothsquare as a reseller in the sense related to the logic of the marketplace platform.

Invoicing Workflow: 

Following the use of stands, the exhibitor will receive an invoice issued by Boothsquare. Simultaneously, an account statement will be generated for the event organizer. The organizer must present an invoice corresponding to the amount on the account statement within 48 hours of its receipt. Payments must be made within this timeframe.

VAT Management:

VAT management is exclusively based on the registered office of Boothsquare, currently located in Brussels. All transactions will be processed taking this location into account. Parties involved should consider this aspect when managing the tax implications of their transactions.

By accepting these conditions, you acknowledge and agree to the established workflow and the tax responsibility related to the location of Boothsquare's registered office in Brussels.

These reseller conditions aim to ensure a transparent and effective collaboration between the involved parties. If you have any questions or concerns, please contact our customer service.

Understanding VAT implications in Boothsquare partnerships

With Boothsquare headquartered in Brussels and functioning as a reseller, the VAT considerations hinge on the geographical locations of both the organizer and the exhibitor.

For instance, if an event organizer based in Spain sells through BoothSquare to an exhibitor also situated in Spain, VAT is not applicable due to BoothSquare's role as a reseller located in Belgium. This exemption arises because both the organizer and the exhibitor are aligned within the same VAT jurisdiction, while the reseller between them is located in another European country.

Conversely, if an organizer operates from Belgium and facilitates a sale through Boothsquare to an exhibitor within Belgium, VAT becomes applicable. In this scenario, the organizer is obligated to adhere to the prevailing VAT regulations in Belgium.

Boothsquare, as a facilitator and reseller, asserts the right to rectify and/or collect any unclaimed VAT. This underscores the importance of organizers accurately identifying the VAT implications based on their and the exhibitor's locations.

In navigating these considerations, collaboration between organizers and Boothsquare is paramount for adherence to tax regulations. Open communication and proactive identification of VAT applicability contribute to a seamless partnership, ensuring compliance with tax obligations and fostering a transparent business relationship. Boothsquare remains committed to facilitating a smooth and compliant process for all parties involved.

Incorporating Tax Information in booth purchases

In every booth purchase request, organizers are entrusted with the responsibility to inquire about the fiscal details of the applicant. It is imperative for organizers to gather information regarding the tax status of the purchaser and determine whether VAT applies, considering the aforementioned guidelines.

This proactive approach ensures that organizers accurately assess and disclose the VAT implications associated with the transaction. By obtaining and validating the fiscal information of stand applicants, organizers contribute to the transparent and compliant execution of each sale facilitated through Boothsquare.

Boothsquare values the collaborative effort between organizers and their attention to collecting pertinent fiscal details. This not only streamlines the purchasing process but also enhances the overall efficiency of our partnership. Your commitment to obtaining accurate tax information aligns with Boothsquare's commitment to regulatory compliance and transparent business practices.

Multi-Currency Management and Exchange responsibility:

BoothSquare facilitates the management of multiple currencies through an API, providing a flexible platform for event organizers. It is imperative to note that BoothSquare bears no responsibility for currency fluctuations, exchange rates, or any alterations in monetary values. The event organizer acknowledges and accepts full responsibility for the selection of a specific currency, as well as all aspects of payment requests and transactions made throughout the event. BoothSquare's role is solely to provide the technological infrastructure for currency management, and any financial implications rest solely with the organizer.

General Terms

9. Content.

Parts of the BoothSquare Platform enable you to provide information, text, photos, audio, video,, and other content (collectively, “Content”). By providing Content, in whatever form and through whatever means, you grant BoothSquare a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Where BoothSquare pays for the creation of Content or facilitates its creation, BoothSquare may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant BoothSquare the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that BoothSquare may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. BoothSquare does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

10. Fees.

BoothSquare may charge fees (and applicable Taxes) to Hosts and Exhibitors for the right to use the BoothSquare Platform. To help BoothSquare run smoothly and to cover the cost of services, we charge a service fee when a payment request is successfully paid. Most Hosts and Service Providers pay a 7,5% fee. This fee is calculated from the booking subtotal and is automatically deducted from the Host payout. For each Booth or Service sale, the company sends a sales invoice to the buyer and a statement of account (balance) to the organizer. This statement includes the amount received, applicable commissions to be deducted, and the amount the organizer should invoice. Notably, it is BoothSquare that assumes the responsibility of making the payment within a stringent 48-hour timeframe. This expedited payment is contingent upon the accuracy of all the information provided by the organizer and the Service provider.

Except as otherwise provided on the BoothSquare Platform, service fees are non-refundable. 

BoothSquare reserves the right to change the service fees at any time, and will provide Members notice of any fee changes before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. BoothSquare collect payment through Stripe both for a booth rent or a service. You have to read carefully and accept all Stripe’s terms of use.

Choosing Your Base Plan:

Our platform offers three distinct plans, each catering to different requirements:

Free Plan: The Free Plan comes with basic features and is perfect for smaller or introductory events. It allows you to get a feel for the platform and its capabilities at no cost.

Premium Plan: The Premium Plan unlocks a range of enhanced features and provides greater flexibility for managing mid-sized events. It is ideal for event organizers seeking more advanced functionalities.

Ultra Premium Plan: The Ultra Premium Plan is our top-tier option, offering the most comprehensive set of features and services for large-scale events and seasoned event organizers.

The pricing structure for upgrading your event edition with enhanced functionality is as follows:

Free Plan: No additional cost involved. This plan provides you with a basic set of features.

Premium Plan: Upgrade to the Premium Plan for $750 per specific event edition (e.g., Auto Show 2025 Edition). This plan grants access to the floor plan designer.

Ultra Premium Plan: Elevate your event experience with the Ultra Premium Plan at $1500 per specific event edition (e.g., Auto Show 2025 Edition). This plan offers all the benefits of the Premium Plan, along with additional features and services exclusive to Ultra Premium subscribers (Priority support line & Onboarding assistance).

Easy Upgrade Process:

When you create or manage an event edition, our user-friendly interface allows you to seamlessly upgrade your plan to the desired level. Simply select the plan that best aligns with your event's requirements, and your edition will be equipped with the enhanced functionality accordingly.

Transparency and Flexibility:

We value transparency and aim to provide you with the flexibility to choose the level of functionality that suits your unique event needs. You can easily switch between plans for different event editions, ensuring you have access to precisely the features you require for each event edition.

Event Boosting Overview

Event Boosting is a premium feature offered by BoothSquare that allows users to elevate the visibility of their event listings. Boosted events will be prominently displayed at the top of search results for a minimum period of 1 month, ensuring maximum exposure to potential attendees searching within a designated industry or geographic area.

Essential Boost: Top Placement in Industry and Country Searches

The first premium boost option we offer is the Essential Boost. With this boost, your event will be prominently displayed at the top of category searches within both your event's industry and your chosen country. Imagine having your event's details showcased right at the beginning of relevant search results. This feature ensures that your event captures the attention of attendees who are specifically interested in your industry and are located within your target country.

Premium Boost: Global Prominence in Industry Searches

-Modification of Access and Pricing

BoothSquare reserves the right to modify the conditions of access, feature availability, and pricing of both Premium Packs and Event Boosting at its sole discretion. -User Responsibilities

Users availing the Event Boosting feature are responsible for ensuring that their event listings comply with BoothSquare's Terms of Use. BoothSquare reserves the right to remove or modify boosted event listings that violate these terms.

-Termination of Boosted Listings

BoothSquare reserves the right to terminate the boosting of an event listing if it determines that the event violates its terms of use or content guidelines. In such cases, the boosted event listing may be removed from the top search results and subject to further actions as deemed necessary by BoothSquare.

11. BoothSquare Platform Rules.

11.1 Rules. You must follow these rules and must not help or induce others to break or circumvent these rules.

11.2 Reporting Violations. If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting BoothSquare. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to BoothSquare. If you reported an issue to local authorities, BoothSquare may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

11.3 Copyright Notifications. If you believe that Content on the BoothSquare Platform infringes copyrights.

12. Termination, Suspension and other Measures.

12.1 Term. The agreement between you and BoothSquare reflected by these Terms is effective when you access the BoothSquare Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

12.2 Termination. You may terminate this agreement at any time by sending us an email or by deleting your account. BoothSquare may terminate this agreement and your account for any reason by giving you 30 days’ notice via email or using any other contact information you have provided for your account. BoothSquare may also terminate this agreement immediately and without notice and stop providing access to the BoothSquare Platform if you breach these Terms, you violate our Additional Legal Terms, or Policies, you violate applicable laws, or we reasonably believe termination is necessary to protect BoothSquare, its Members, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.

12.3 Member Violations. If (i) you breach these Terms, our Additional Legal Terms, Policies, or our Standards, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) BoothSquare believes it is reasonably necessary to protect BoothSquare, its Members, or third parties; BoothSquare may, with or without prior notice:

For minor violations or where otherwise appropriate as BoothSquare determines in its sole discretion, you will be given notice of any intended measure by BoothSquare and an opportunity to resolve the issue. You may appeal actions taken by us under this Section by contacting customer service. If a Reservation is cancelled under this Section, the amount paid to the Host will be reduced by the amount we refund or otherwise provide to the Exhibitor, and by any other costs we incur as a result of the cancellation.

12.4 Legal Mandates. BoothSquare may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in Section 12.3.

12.5 Effect of Termination. If you are a Host and terminate your BoothSquare account, any confirmed booking(s) will be automatically cancelled and your Exhibitors will receive a full refund. If you terminate your account as an Exhibitor, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the Reservation’s cancellation policy of the Host. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the BoothSquare Platform has been limited, or your BoothSquare account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the BoothSquare Platform through an account of another Member.

13. Modification.

BoothSquare may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the BoothSquare Platform and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of any material changes by email at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the BoothSquare Platform will constitute acceptance of the revised Terms.

14. BoothSquare’s Role.

We offer you the right to use a platform that enables Members to publish, offer, search for, and book Host Services. While we work hard to ensure our Members have great experiences using BoothSquare, we do not and cannot control the conduct of Exhibitors and Hosts. You acknowledge that BoothSquare has the right, but does not have any obligation, to monitor the use of the BoothSquare Platform and verify information provided by our Members. For example, we may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the BoothSquare Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria. Members acknowledge and agree that BoothSquare administers its Additional Legal Terms, Policies (such as our Extenuating Circumstances Policy) and Standards (such as basic requirements for hosts), including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist BoothSquare in good faith, and to provide BoothSquare with such information and take such actions as may be reasonably requested by BoothSquare with respect to any investigation undertaken by BoothSquare regarding the use or abuse of the BoothSquare Platform. BoothSquare is not acting as an agent for any Member except for where BoothSquare acts as a collection agent.

15. Member Accounts.

You must register an account to access and use many features of the BoothSquare Platform. Registration is only permitted for legal entities, partnerships and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the BoothSquare Platform under the laws of applicable jurisdiction, your place of residence, or any other. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify BoothSquare if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

16. Disclaimer of Warranties.

We provide the BoothSquare Platform and all Content “as is” without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Exhibitor, Host, Host Service, Listing or third party; (ii) we do not warrant the performance or non-interruption of the BoothSquare Platform; and (iii) we do not warrant that verification, identity or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being "verified" (or similar language) indicate only that the Member or Listing or BoothSquare has completed a relevant verification or identification process and nothing else. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.

17. Limitations on Liability.

Neither BoothSquare (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the BoothSquare Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the BoothSquare Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the BoothSquare Platform, or (iv) publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not BoothSquare has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

These limitations of liability and damages are fundamental elements of the agreement between you and BoothSquare. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

18. Indemnification.

To the maximum extent permitted by applicable law, you agree to release, defend (at BoothSquare’s option), indemnify, and hold BoothSquare (including other affiliates, and their personnel) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Terms (ii) your improper use of the BoothSquare Platform, (iii) your interaction with any Member, stay at an Event participation in an Experience or other Host Service, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use, (iv) your failure, or our failure at your direction, to accurately report, collect or remit Taxes, or (v) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights.

19. Contracting Entities.

The contracting Entity is Blue curseur Europe SRL based in Brussels, 160 Jules Bordet avenue - 1140 Evere and BoothSquare reserve the right to transfer a part or entire Terms to another contracting entities in case of acquisition for example.

20.Governing Law

This contract is governed by the laws of Belgium. It shall be enforced and interpreted pursuant to these laws.

21. Miscellaneous.

21.1 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between BoothSquare and you pertaining to your access to or use of the BoothSquare Platform and supersede any and all prior oral or written understandings or agreements between BoothSquare and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and BoothSquare. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated in Section 21.8 above, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. Where the word “will” is used in these Terms it connotes an obligation with the same meaning as “shall.”

21.2 No Waiver. BoothSquare’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

21.3 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without BoothSquare’s prior written consent. BoothSquare may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.

21.4 Notice. Unless specified otherwise, any notices or other communications to Members permitted or required under this agreement, will be provided electronically and given by BoothSquare via email, BoothSquare Platform notification, messaging service (including SMS and WeChat), or any other contact method we enable and you provide. 

21.5 Third-Party Services. The BoothSquare Platform may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. BoothSquare is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

21.6 Google Terms. Some translations on the BoothSquare Platform are powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement. Some areas of the BoothSquare Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

21.7 BoothSquare Platform Content. Content made available through the BoothSquare Platform (including our blog and tips) may be protected by copyright and trademark. You acknowledge that all intellectual property rights for that Content are the exclusive property of BoothSquare and/or its licensors and agree that you will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices. You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit any Content accessed through the BoothSquare Platform except to the extent you are the legal owner of that Content or as expressly permitted in these Terms. Subject to your compliance with these Terms, BoothSquare grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view the Content made available on or through the BoothSquare Platform and accessible to you, solely for your personal and non-commercial use.

21.8 Force Majeure. BoothSquare shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

21.9 Emails and SMS. You will receive administrative communications from us using the email address or other contact information you provide for your BoothSquare account. Enrollment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply. You can control whether you receive promotional emails using the notification preferences in your account settings. Please note that you will not be able to take advantage of certain promotions if you disable certain communication settings.

21.10 If you want to report an error you have access to a feature that give you the possibility to share your feedback, report an error or remove Event information from our database.
